Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Kiuas Review Platform (the “Service”), operated by Mainostoimisto Kiuas Oy (“Company,” “we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. ## 1. Eligibility and Accounts The Service is business-facing and invite-only. You must use accurate account information and keep your login credentials secure. You are responsible for all activity under your account. ## 2. Service Description The Service provides collaborative draft review workflows for agencies and clients, including project spaces, comments, approvals, notifications, and optional third-party integrations. We may update, improve, or modify features over time. ## 3. Organization Access and Roles Access is managed by organization administrators. Your permissions depend on assigned roles (for example: agency admin, agency member, client). Organization administrators are responsible for invite decisions and role assignments. ## 4. Acceptable Use You agree not to: - Use the Service for unlawful, harmful, or fraudulent purposes. - Attempt unauthorized access to accounts, data, or systems. - Interfere with Service operation, security, or availability. - Upload malicious code or content that violates rights of others. - Reverse engineer or misuse the Service beyond permitted use. ## 5. Customer Content You retain ownership of content you upload or submit (“Customer Content”). You grant us a limited license to host, process, transmit, and display Customer Content only as needed to provide and maintain the Service. You are responsible for ensuring you have rights to all Customer Content and that it complies with applicable law. ## 6. Confidentiality Each party may receive non-public information from the other. Each party agrees to protect confidential information with reasonable care and use it only for permitted purposes. ## 7. Third-Party Services The Service may rely on third-party providers (for example cloud infrastructure, email delivery, storage, and integration APIs). Your use of integrated third-party services may also be subject to their terms and policies. ## 8. Service Availability We aim for reliable operation but do not guarantee uninterrupted or error-free availability. Maintenance, outages, and third-party failures may affect access. ## 9. Suspension and Termination We may suspend or terminate access if you violate these Terms, create security risk, or misuse the Service. You may stop using the Service at any time. Upon termination, access may be removed and data may be deleted according to our retention practices and applicable law. ## 10. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. ## 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (OR EUR 100 IF NO FEES WERE PAID). ## 12. Indemnification You agree to indemnify and hold harmless Company from claims arising from your misuse of the Service, your Customer Content, or your violation of these Terms or applicable law. ## 13. Governing Law and Disputes These Terms are governed by the laws of Finland, excluding conflict-of-law rules. Disputes will be resolved in the courts located in Rovaniemi, unless otherwise required by law. ## 14. Changes to These Terms We may update these Terms from time to time. If changes are material, we will provide notice through the Service or other reasonable means. Continued use after changes take effect means you accept the updated Terms. ## 15.
